Adam Cahn

Managing Director

Adam is a CPA with more than 25 years of experience providing consulting services to finance and accounting departments. His specialties include building and restructuring finance departments and their systems, creating and documenting policies and procedures and enhancing the quality of the financial reporting information.

In 2006, Adam joined Smith Barney Global Stock Plan Services (“MSSB”) as one of the chief architects of their FAS123(R) financial reporting service. During his six years at MSSB, he was responsible for (i) testing and enhancing the beta version of EASi’s equity accounting software (the tool ultimately selected to service MSSB’s clients) (ii) designing and implementing MSSB’s financial reporting service delivery model (iii) training the team of Financial Reporting Managers that supported the tool and (iv) directly supporting MSSB’s largest and most complex financial reporting clients. Adam was also responsible for developing the ESPP and FAS128 Earnings Per Share reporting modules that were later added to MSSB’s proprietary version of EASi.

Adam’s technical accounting expertise eventually allowed him to assume the Financial Reporting Product Manager role at MSSB where he focused on crafting solutions for clients’ discrete accounting issues as well as the organization’s broader equity accounting software development needs.

Kate Daniels

Managing Director

Kate has worked in equity compensation for over 13 years with experience in stock plan and ESPP administration for large multinational plan sponsors. She has a broad range of stock administration experience including new broker implementation, Section 16 reporting, Proxy reporting and daily management of these programs for several corporate issuers.

Prior to joining ISP Advisors, Kate worked as the Supervisor, Stock Plan Administration for Vertex Pharmaceuticals, Inc. where she managed their Global ESPP and Equity plans for participants in over ten countries, and had other responsibilities including handling day-to-day transaction activity, documenting processes & procedures, compliance with SOX controls and obtaining tax guidance for all global and mobile participants.

Kate also worked for Qualcomm Incorporated where she completed SEC filings for Section 16 officers and Directors, handled ESPP administration, administered the Executive Retirement Contribution Match Plan and compiled and produced the Equity Compensation and Beneficial Ownership Tables for the Proxy Statement as well as managed the cash retainers and equity to the Board of Directors.

Kate is an active member of the National Association of Stock Plan Professionals (NASPP) and the Global Equity Organization (GEO), as well as a member of the NASPP Executive Advisory Committee.

Tracy de Swiet

Managing Director

Tracy de Swiet has 15 years of experience in equity compensation compliance and communications. With extensive expertise in international tax and regulatory compliance, she assists multinational companies in deciphering complex global equity requirements, and defining practical processes that work in the real world. Tracy also has formal training in graphic design and web layout, giving her the unique ability to develop global employee communications and internal training programs that are both technically solid and creatively engaging.

Prior to her work with ISP, Tracy was the International Compliance Team Lead for Global Stock Plan Services at Cisco Systems, Inc., where she was responsible for tax and regulatory compliance of RSU, ESPP and stock option programs in Asia and emerging market locations. She also developed communication and training programs on equity compensation for international payrolls, and for the company’s employee population of over 75,000 (including over 4,000 globally mobile) in more than 90 countries. Before joining Cisco, Tracy gained over ten years of experience in global equity compensation consulting, including her past roles as global equity consultant with ISP Advisors and SOS, and as Tax Manager for six years in Ernst & Young’s Global Equity practice. In these roles, she assisted international companies with global feasibility studies, tax and regulatory due diligence reviews, employee communications and educational materials. Tracy also worked with CSFB in their International Equity Settlements division in London, and worked in custody services, equity settlements and HR consulting, in Moscow, Russia. Tracy holds a BA in International Politics & Economics from Middlebury College. She has been a frequent speaker at local and international industry events, including NASPP, GEO and CEPI.

Jennifer Edwards

Managing Director

Jennifer Edwards has worked in the compensation field for over 15 years with deep experience in equity plan and ESPP administration, as well as broad-based and executive compensation. She has a broad range of stock administration experience including implementation and daily management of these programs from both a corporate issuer and vendor perspective.

Through her background working for multiple large, global issuers, Jennifer has collaborated effectively with a variety of functional disciplines and levels within the companies she supported. From processing and communicating Board compensation (cash retainers and stock grants) to reviewing SEC form filings to tracking share ownership against established guidelines, she is comfortable interacting with senior management and their financial advisors. Jennifer also has extensive experience with the design, implementation and daily management of broad-based qualified and non-qualified ESPP programs.

Previously, Jennifer was an Implementation Project Manager with Computershare, responsible for the implementation of new clients. Prior to that, she was a Client Relationship Manager/Stock Plan Administrator with Morgan Stanley, responsible for overseeing the day to day administration of nearly 50 corporate client Plans.

VP Gedipudi

Managing Director

VP has deep experience dealing with various brokerage platforms and delivering equity administration solutions to employees of large multi-national companies. Leveraging his unique combination of engineering, outsourcing, and brokerage expertise, he collaborates with his clients to address the challenges associated with implementing global equity plans and delivering automated solutions in a highly cost effective manner.

Previously, VP was Vice President with Morgan Stanley Smith Barney responsible for the implementation of new clients and as part of First Response Team to analyze any issues prior to sending to appropriate technology teams for further analysis and/or remediation. Prior to that, VP was the Director of Accounting and Tax Solutions with Stock & Option Solutions where he had built a suite of automated solutions for identifying and fixing issues related to the backdating of stock options as well as ongoing tracking of issue grants until they are all settled. At Cisco, VP was the manager for Stock Administration Operations. He was also responsible for in-house stock administration system in a multi-broker environment. He was the lead for SOX processes, and managed the transition of one broker with another. VP had also served on Client Advisory Board and/or Client User Board with Smith Barney and UBS Financial Services while at Cisco. VP also has extensive experience assisting client tax and accounting teams with reports related to tracking APB25, FAS123R, DTA/APIC, expensing and dilution forecasts, and Options/Restricted/ESPP valuations.

Geoff Hammel

Managing Director

With more than 15 years of experience in key strategic roles within the corporate issuer, vendor and Big 4 consulting environments, Geoff offers a unique, broad perspective on global executive compensation best practices.

Before joining ISP Advisors, Geoff was the Head of Compensation at Lincoln Financial Group.  There he led the planning, design and delivery of all Compensation and Performance Management programs for Lincoln’s 8,000+ employees.  Prior to Lincoln, Geoff spent a decade as a Director in PricewaterhouseCoopers’ Global Human Resource Solutions (GHRS) Total Rewards consulting practice.  In that role, he assisted some of the world’s top public companies in extending their stock option, restricted stock and ESPP programs to employees in over 100 countries.   Geoff also spent considerable time addressing domestic executive compensation strategy, governance, administration and taxation (Code Sections 83, 162(m), 280G and 409A).

Geoff is a member of the Board of Directors of the NASPP Philadelphia Chapter, and has been a speaker at numerous industry events, including E*TRADE Directions, Merrill Lynch’s Annual Retirement Client Conference, the NASPP Annual Conference and the GEO International Conference.

Kurt Markert

Managing Director

Kurt Markert has over 20 years of experience in equity plan, employee benefits outsourcing, and brokerage services.  Leveraging his combination of client servicing and project management experience, outsourcing, operations, and brokerage expertise, Kurt has successfully served many domestic and multinational employers.

Kurt has developed systems and operational strategy to successfully manage complex stock plan tasks related to corporate events, including mergers, acquisitions, and spin-offs.  He has intimate knowledge of all phases of stock plan database setup and data conversion.  He has working knowledge of many of the stock plan record-keeping and administration platforms including: Equity Edge, Optionease, Shareworks, Trancentive, Fidelity Stock Plan Services, and MSSB’s Sapphire.

Kurt has supported pre-IPO clients as they transitioned their equity plan operations from the minimal state appropriate for privately held employers to the optimal state suitable for publicly traded employers.  Kurt has a proven track record of successfully collaborating with client’s HR, Treasury, Finance, Legal, and Payroll teams, and has extensive experience managing major equity plan events, including ESPP enrollment, purchases, and Restricted Stock releases.

John McCann

Managing Director

John is a Managing Director with Independent Stock Advisors LLC, where he he assists clients in day-to-day administration and special projects.  In that role, he helps companies tackle the strategic, administrative and technical challenges facing their global stock plans.

With more than 9 years of experience in key strategic project within and advising public and pre-IPO companies.  His project experience includes special dividends, integrating aquired plans, broker migrations and implementing international equity transaction processing frameworks for international companies.

Before joining ISP Advisors, John had been a stock administrator for companies with equity programs ranging in size from a few dozen participants to 100,000+ employees.  He led the planning, design and delivery of tools for streamlining of processing of Options, RSUs and ESPP.

John is a past speaker at National Association of Stock Plan Professionals (NASPP) events and has been a long time volunteer with the Silicon Valley chapter of the NASPP.

John is a Certified Equity Professional and holds a B.S. in Economics and Economics Management from Ohio Wesleyan and a MBA from the University of Wisconsin Madison.

Neal Mugherini

Managing Director

Neal has worked with numerous small to large employers both public and private for over 30 years in all matters of employee benefits and equity compensation planning, administration and compliance. He has helped corporate clients such as banks and brokerage firms grow their retirement businesses. Neal has also advised extensively with all types of financial professionals from traditional commissioned brokers to independent fee-based register investment advisors on all areas of retirement practice management. Neal is able to leverage his unique blend of legal, brokerage, consulting and administration skills to help clients solve complex employee benefits issues.

Prior to joining ISP Advisors, Neal spent 18 years as a Vice President with Fidelity Investments. As a senior member of Fidelity’s stock plan services organization during its start-up phase, he oversaw the development of plan implementation and administration processes and helped design innovative technology-based outsourcing solutions for globally offered stock plans. While at Fidelity, Neal also worked in 401(k) administration, asset retention strategies and retirement income planning initiatives supporting Fidelity‘s financial professional clients. Prior to joining Fidelity Neal was a consultant and benefits attorney with Ernst & Young and William M Mercer, Inc. Neal began his career as an employee plans specialist with the Internal Revenue Service.

Kevin O’Neil

Managing Director

Kevin O’Neil has worked in compensation for over 13 years with experience in equity plan and ESPP administration as well as broad-based and executive compensation. He has a broad range of stock administration experience including management of fully in-house stock programs with no broker relationships, fully outsourced vendor solutions, and co-sourced programs with a combination of both.

Through his background working for multiple large, global issuers, Kevin has collaborated effectively with a variety of functional disciplines and levels within the companies he supported. From communicating and processing Board compensation (cash retainers and stock grants) to SEC form filings to tracking share ownership against established guidelines, he is comfortable interacting with senior management and their financial advisors. Kevin also has extensive experience with broad-based compensation programs such as qualified and non-qualified ESPP programs as well as several years supporting the operations organization of a multi-national life sciences company as a senior compensation analyst.

Designing and managing SOX controls and processes related to both systems (vendor systems, Peoplesoft) and internal procedures is another strong skillset that Kevin adds to the ISP Advisors team.

Eliot Quill

Managing Director

Eliot Quill has over 30 years’ experience in equity plan and ESPP administration both domestically and internationally.  Additionally, he has set up share plans with American Depositary Receipts (ADRs) and has successfully managed equity plan and retirement plan outsourcing projects.  Leveraging his unique combination of corporate and service provider backgrounds, Eliot is adept in the cross-functional management of multi-national equity plan implementation and on-going plan operations.

Recent client projects include the implementation of an International ESPP for an established technology company and the migration to a third-party service provider following a successful IPO of a private equity owned company.

Eliot also has extensive experience in the oversight and management of a number of Corporate functions, including Proxy, SOX Compliance and the management of internal and external auditors as they relate to equity plans, ESPP’s and 401(k)’s.

Larry Schumer

Larry has, for 30 years, been a successful business leader (1) as a partner or principal in two compensation consulting firms, (2) in head of corporate human resource roles and (3) general management roles with strong numerical, analytic and consultative competencies.

Larry’s core consulting areas are across the Compensation spectrum. He has led numerous executive compensation consulting assignments to both company management and the Compensation Committee of small and mid-size private and public companies. His industry focus has been in information technology, technology services and life sciences. His client focus always centers on the client’s business and strategy, and starts with Compensation Philosophy and Strategy.

Prior to joining ISP Advisors, Larry served as Interim Head of HR for Cape Cod Healthcare. That was preceded by Larry being a principal for seven years at Buck Consultants where he led numerous client projects across all areas of Compensation with a focus on executive compensation and incentive compensation (cash and equity) projects.

Prior to this time, Larry was an investor and senior employee at Salary.com as (1) VP Product Development for an executive compensation product and (2) Head of HR; Prior to this Larry was the Global Head of HR for two sizeable technology companies, Teradyne and Stream International. Larry’s career was launched with nineteen years, including twelve as a partner, in PwC’s HR consulting practice in the New York, Boston and London offices. For six years he was the managing partner for the Boston and UK HR practices leading them to strong growth and profitability.

Jewon Wee

Prior to founding the firm, Jewon was Vice President with Fidelity Investments. As a senior member of Fidelity’s stock plan product organization, he oversaw the development of innovative technology and people-based outsourcing solutions for globally offered stock plans. He joined Fidelity from Ernst & Young, where he advised clients on all aspects of designing and operating global assignment programs and global share plans, including tax, regulatory, payroll compliance, HR, financial, and administrative consideration.

Jewon has served as a member of the Board of Directors of Global Equity Organization since 2005, and has been a speaker at numerous industry conferences, including the Conference Board Executive Compensation Conferences, GEO Annual Conferences, NASPP Annual Conferences, and CEPI Symposiums.

He is a co-author of a chapter in GEOnomics ’11 book titled “Overcoming the Challenges of Equity Compensation Plan Service Provider Selection & Transition.”
