Topic: Post-Vest Holding Periods: The Intersection of Corporate Governance, Plan Design, and Financial Accounting

Join Geoff Hammel of ISP Advisors and Terry Adamson of Radford/Aon Hewitt as they discuss this growing issue.

Description:  The inclusion of post-vest holding periods in time vested and performance vested restricted stock awards continues to increase in prevalence as employers strive to further align executive compensation programs with corporate governance best practices, and to facilitate compliance with regulatory requirements – such as the incentive compensation disgorgement provisions of Dodd-Frank.  This session will provide an overview of the current corporate governance environment related to mandatory post vest-holdings periods.  The session will also outline competitive practice and administrative challenges presented by post-vest holding periods.  Finally, the session will discuss the financial accounting benefit and reduction in compensation expense that may be realized for awards that include mandatory post-vest holding periods.

Brad will present an overview of the benefits of learning and using Microsoft Access in stock plan work. During his career as a consultant, Brad has observed clients using incredibly complex Excel files to perform calculations or summarize data that could easily be performed in Access.
